Neptune Partners is an independent advisory and transaction firm with focus on capital raisings and other corporate transactions in the Nordics.

We offer a combination of financial and legal advisory where we deliver integrated services within advisory, project management and execution of capital raisings and other corporate transactions. Through integrated services we can offer a one-stop shop for our clients. Capital raisings includes both debt financing and issuance of shares and equity-related instruments. Other corporate transactions relates primarily to initial public stock offerings (IPOs) and company mergers, acquisitions and divestments (M&A). For more information, see Services.

Our starting point is always the client’s needs and we tailor our offering to the client’s situation. Hence, we do not sell specifically one solution or a specific instrument. Instead, our approach is based on attaining a sound understanding of what the client needs and thereafter we present a palette of options with clear trade-offs, pros and cons and with a clear recommendation. By providing tailored advisory we can offer the financing or transaction type that suits the client best. Our team has extensive experience from capital raisings and other corporate transactions and we have access to many different types of investors.

Our clients only pay for our services if the provided advisory renders in a completed project. In case the project is not completed, the client pays nothing, neither for the financial nor the legal advisory. This offering is unique for Neptune Partners.

ABOUT US

Neptune Partners was created with the vision to integrate financial and legal transaction advisory to be able to create the best possible value for the client through a unique offering. We know that companies appreciate clarity and fewer, rather than more, advisors in a transaction and that there is often a demand for a unified and integrated competence with cohesive project management in complex and time-consuming transactions. We assume this role and meet these demands. We assist the client throughout the capital raising and transaction process, from the start to having executed the transaction, and involve the client exactly as desired.

Combination of financial and legal advisory

In our previous roles, we have carried out a large number of transactions of different nature and are therefore well versed in a company’s challenges in intense and sometimes complex financing and transaction processes. Often, such processes take too much of the management’s time – everything from the coordination of advisors and scattered deliveries and sometimes an unclear overall project status. Often this causes delays, expensive processes and increased risk-taking for the client by having some critical advise lost along the way.

Through integrated and combined financial and legal advisory, we ensure optimal efficiency in each individual assignment, no loose ends and a completely seamless project management and coordination. We prioritise work streams according to what is most important at the moment and we always have a current project overview to share.

Flexible remuneration model and payment only upon a completed project

For a capital raising or corporate transaction, the industry standard is that the legal advisory is managed by an external party (usually a law firm) that is not the same party as the financial advisor. At Neptune Partners, legal advisory is included in the total price as we have our own internal lawyers. Our payment model thus also includes our legal services, which most legal service providers cannot offer. The fact that Neptune Partners can offer a performance-based remuneration model – for both financial and legal services – within the same firm makes us unique.

We are not limited to any specific payment model but offer full flexibility and always propose a payment model that is adapted to the project and the client’s situation. For example, the payment model may be based on retainers, fixed prices, alternative means of payment, different payment times, instalments and shared risk in the form of success or performance-based compensation (so-called no cure no pay) – that is, the client pays only when the project is completed. If a project is not completed – for whatever reason – the client pays nothing.

Independent advisory with focus on the client's needs

Banks and other financial advisers, audit firms and law firms often speak about the value of independent advisory. Independent advisory shall ensure that there are no interests other than those of the client behind the advisory provided. For example, divergent interests may result in a particular specific financing being proposed to a client because it is the most appropriate offering for the specific adviser or because it allows for a higher remuneration for the adviser. It can also mean reducing the value of a company in a company valuation for the benefit of external investors.

Neptune Partners’ legal and operating structure enables independence, and we have no incentives to act in favour of, or compete against, other departments within our firm. We do not have any internal conflict of interests and do not have to worry about internal politics, but instead we can focus on what we know best and what suits the client best. Most often, this is not just a specific advice but a more nuanced palette of options, along with a clear recommendation.

Extensive experience from capital raisings and other corporate transactions

We have extensive experience in capital raisings, financing solutions, IPOs, M&A and other corporate transactions and background from a variety of roles within investment banking, corporate finance, corporate lending, client executive for companies at a large bank, consulting, law firm and corporate law, auditing and accounting. Through our previous roles, we have participated in hundreds of transactions in the Nordic region.

In order to offer our clients a project experience characterised by experience, strong business sense and innovation, our way of working is specifically designed to be able to work fully dedicated to the client in question. We make sure that our most senior expertise is always used for various questions. We strongly value that our clients always are satisfied after a project with us. This also means that we welcome clients’ requests for collaborations with other advisors within the scope of a project, or that a project should be run in a certain way. Our freedom and flexibility allow us to find the best solution for our clients – instead of a standard solution that doesn’t always fit.
